Terms of Use

These Terms of Use govern your access to and use of the website www.profarmadirect.com (the "Site") and the creation and use of a personal account on the Site. They do not cover the sale of products or services – that is dealt with separately in our Terms & Conditions of Sale.

 

By accessing or using the Site, or by registering an account, you agree to be bound by these Terms of Use. If you do not agree to them, please do not use the Site.

 

 

1. Who operates this Site and how to reach us

1.1 The Site is operated by Profarma Direct Ltd, a company registered in England and Wales, with its registered office at Marsh House Lane, Darwen, Lancashire, BB3 3JB, United Kingdom ("we", "our" or "us"). 3. Accessing the Site

3.1 Access to the Site is free of charge, although you are responsible for any internet access or data charges you may incur.

 

3.2 We do not guarantee that the Site, or any content on it, will always be available or uninterrupted. We may suspend, withdraw or restrict availability of all or any part of the Site for business or operational reasons, and will try to give reasonable notice of any planned suspension.

 

3.3 You are responsible for making the arrangements necessary to access the Site, and for ensuring that all persons who access the Site through your internet connection are aware of these Terms of Use and comply with them.

 

3.4 The Site is intended for users in the United Kingdom. We make no representation that the content on the Site is appropriate or available for use in other locations. You must not access the Site from any jurisdiction where such access would be unlawful or where the content would be in breach of local law.

 

 

4. Registering an account

4.1 Accounts are mandatory to place orders. You can browse the Site without registering, but you must create a personal account and be logged in before you can place an order. Guest checkout is not available. This change has been introduced to improve patient safety, protect your order and prescription history, and comply with regulatory requirements.

 

4.2 To register an account you must:

 

  • be at least 18 years of age;
  • provide accurate, current and complete information when prompted; and
  • keep your account information up to date.

4.3 You may hold only one account. You must not register an account on behalf of another person, impersonate any person, or provide false information when registering.

 

4.4 We may refuse to register an account, or suspend or close an existing account, where we reasonably believe that the information provided is inaccurate, that the account is being used in breach of these Terms of Use or the Terms & Conditions of Sale, or that allowing the account to continue would not be appropriate for safety or regulatory reasons.

 

 

5. Account security

5.1 You must treat your password and any other login information as confidential and must not disclose it to any third party.

 

5.2 You are responsible for all activity that occurs under your account. If you know or suspect that anyone other than you has access to your account, you must notify us immediately at info@profarmadirect.com so that we can take appropriate action.

 

5.3 We have the right to disable any account, user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with these Terms of Use or the Terms & Conditions of Sale.

 

 

6. Acceptable use

6.1 You may use the Site only for lawful purposes. You must not use the Site:

 

  • in any way that breaches any applicable law or regulation;
  • in any way that is unlawful, fraudulent, or has any unlawful or fraudulent purpose;
  • to transmit material that is defamatory, obscene, offensive, hateful or inflammatory;
  • to send unsolicited commercial communications (spam);
  • to knowingly transmit or upload any material containing viruses, trojan horses, worms, time-bombs, keystroke loggers, spyware or any other harmful programs or similar computer code;
  • to attempt to gain unauthorised access to the Site, the server on which it is stored, or any server, computer or database connected to it;
  • to attack the Site via a denial-of-service attack or similar; or
  • to harvest, scrape or otherwise extract content from the Site for use outside the Site.

6.2 You must not behave abusively toward our staff, agents or contractors, whether through the Site, by email, by telephone or by any other means. This includes (without limitation) threatening, offensive, discriminatory or foul language; harassment or intimidation; and deliberate time-wasting or repeated malicious contact.

 

6.3 We may, at our discretion, suspend or terminate your access to the Site (including closing your account) immediately and without refund if you breach this clause 6. We may also report the matter to law-enforcement authorities where appropriate.

 

 

7. Uploaded content

7.1 Where the Site allows you to upload content (for example, prescriptions, photographs or messages to our clinical team), you warrant that the content is accurate, that you have the right to upload it, and that it does not infringe the rights of any third party.

 

7.2 We may remove or refuse to accept any uploaded content that we reasonably believe breaches these Terms of Use, is unlawful, infringes the rights of another person, or poses a risk to the Site or our users.

 

7.3 We accept no responsibility for content uploaded by users that is inaccurate, offensive or unlawful.

 

 

8. Intellectual property

8.1 We (or our licensors) own all intellectual property rights in the Site and in the material published on it, including all text, graphics, logos, icons, images, audio clips, data compilations and software. These works are protected by copyright, trade-mark and other intellectual-property laws.

 

8.2 You may view, print and download extracts from the Site for your own personal, non-commercial use only. You must not:

 

  • modify the paper or digital copies of any materials you have printed or downloaded;
  • use any illustrations, photographs, video or audio sequences, or any graphics, separately from any accompanying text;
  • remove any copyright, trade-mark or other proprietary notices;
  • use any part of the Site's content for commercial purposes without obtaining a licence from us; or
  • reproduce, duplicate, copy or re-sell any part of the Site in breach of these Terms of Use.

8.3 The "Profarma Direct" name and logo are trade marks of Profarma Direct Ltd. You must not use them without our prior written permission.

 

 

9. Linking to the Site

9.1 You may link to the home page of the Site, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

 

9.2 You must not establish a link in a way that suggests any form of association, approval or endorsement by us where none exists. You must not establish a link from any site that is not owned by you, and you must not frame the Site on any other site.

 

9.3 We reserve the right to withdraw linking permission without notice.

 

 

10. Third-party links and content

10.1 The Site may contain links to third-party websites and resources that are not controlled by us. Those links are provided for your convenience only. We do not endorse and are not responsible for the content of any third-party websites, and we accept no liability for any loss or damage arising from your use of them.

 

 

11. Our liability for the Site

11.1 The information on the Site is provided in good faith for general information purposes. It is not intended to amount to medical advice on which you should rely. You should always obtain professional or specialist advice before taking, or refraining from, any action on the basis of content on the Site.

 

11.2 Although we make reasonable efforts to keep the information on the Site up to date, we make no representations, warranties or guarantees, whether express or implied, that the content on the Site is accurate, complete or up to date.

 

11.3 Nothing in these Terms of Use excludes or limits our liability for:

 

  • death or personal injury caused by our negligence;
  • fraud or fraudulent misrepresentation; or
  • any other liability that cannot lawfully be excluded or limited.

11.4 Subject to clause 11.3, and to the fullest extent permitted by law, we exclude all conditions, warranties, representations and other terms which might otherwise apply to the Site or any content on it. We will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty or otherwise, arising out of or in connection with:

 

  • use of, or inability to use, the Site;
  • use of or reliance on any content displayed on the Site;
  • loss of profits, sales, business or revenue;
  • business interruption;
  • loss of anticipated savings;
  • loss of business opportunity, goodwill or reputation; or
  • any indirect or consequential loss or damage.

11.5 We do not guarantee that the Site will be secure or free from bugs or viruses. You are responsible for configuring your own technology to access the Site and for using appropriate virus-protection software.

 

11.6 This clause covers liability arising from use of the Site itself. Liability arising from the sale of products and services through the Site (for example, defective goods, delivery failures or refunds) is dealt with separately in our Terms & Conditions of Sale.

 

 

12. Privacy and cookies

12.1 Your use of the Site is governed by our Privacy Policy and Cookies Policy, which set out how we collect, use and protect your personal information.

 

 

13. Suspension and termination

13.1 We may suspend or terminate your access to the Site, close your account, and/or refuse to process orders from you at any time if:

 

  • you breach any material provision of these Terms of Use or of our Terms & Conditions of Sale;
  • we reasonably suspect fraud or misuse of the Site;
  • we are required to do so by law or by a regulatory authority; or
  • we cease to operate the Site.

13.2 You may close your account at any time by contacting us at info@profarmadirect.com. Closure does not affect any orders already placed or any rights and obligations that have accrued before closure. We may retain certain information after closure where required by law or by our regulatory obligations, as set out in our Privacy Policy.

 

 

14. Changes to these Terms of Use

14.1 We may amend these Terms of Use from time to time. The latest version is always available on the Site. By continuing to use the Site after changes are published, you accept the revised Terms of Use.

 

 

15. General

15.1 If any provision of these Terms of Use is held to be unlawful or unenforceable, the remaining provisions will continue in full force and effect.

 

15.2 A failure or delay by us to enforce any provision is not a waiver of our right to do so later.

 

15.3 No third party has any right to enforce these Terms of Use under the Contracts (Rights of Third Parties) Act 1999.

 

 

16. Governing law and jurisdiction

16.1 These Terms of Use and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by the laws of England and Wales.

 

16.2 You and we agree that the courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim, except that if you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in the courts of your home jurisdiction.
